Synopsis

OHL (BME: OHL) at its Shareholders Board meeting, convened for 7 September 2015, will propose and debate the approval of a EUR 1bn capital increase, according to a relevant fact published by Securities Commission CNMV.

The Shareholders Board will also propose that the Board of Directors should decide on the nominal and premium issuance price per share, and the number of shares to issue. In any case, the capital increase should not exceed EUR 1bn and the issuance should not exceed 1,666,666,667 shares.

In the matter of this capital increase, Grupo Villar Mir has agreed to subscribe enough shares to maintain its stake superior to 50% of the share capital.

El Consejo de Administración de la empresa española OHL (BME: OHL) ha convocado una junta de accionistas para el 7 de septiembre de 2015 en el que se debatirá la aprobación de un aumento de capital por importe de EUR 1.000m, según ha comunicado la propia compañía mediante un hecho relevante remitido a la Comisión Nacional del Mercado de Valores (CNMV).

En la junta de accionistas se propondrá también que sea el Consejo de Administración quien decida el importe nominal y la prima de emisión por acción, así como el número de acciones a emitir. En cualquier caso, el aumento de capital no excederá de EUR 1.000m y las acciones emitidas no serán más de 1.666.666.667.

Al respecto de la ampliación de capital, Grupo Villar Mir se ha comprometido a suscribir acciones suficientes para mantener una participación superior al 50% en la compañía.
