Australian Infrastructure Fund (IFM) may be studying the launch of a tender offer for delisting to acquire 44% of construction company OHL México (BMV:OHLMEX), owned by Spain-based OHL (BME:OHL), where it already holds 24.9%, reported Expansión on 26 July 2016, citing sources familiar.

According to the report, the transaction is agreed with parent company OHL (BME:OHL), which will not increase its stake in the Mexico-based company, so the cost of the tender offer will be fully covered by IFM to acquire minority shares.

OHL would remain as majority shareholder, with a 57% stake, once the subsidiary is delisted from the Mexican Stock Exchange (BMV), noted Jaime González Aguadé, the president of Mexican banking and securities regulator Comisión Nacional Bancaria y de Valores de México (CNBV).

However, OHL México, listed on the BMV since November 2010, will continue operating in the country.

Australian Infrastructure Fund (IFM) podría estar estudiando lanzar una OPA de Exclusión para adquirir el 44% de la constructora OHL México (BMV: OHLMEX), propiedad de la española OHL (BME: OHL), de la que ya posee el el 24,9%, según ha informado el diario Expansión el 26 de julio de 2016, basándose en fuentes consultadas por el propio medio.

Según dichas fuentes, la operación está acordada con la empresa matriz OHL (BME: OHL), que no aumentará su participación en la empresa mexicana, con lo que el coste de la OPA lo asumirá plenamente IFM para comprar las acciones de los minoritarios.

OHL permanecería como socio mayoritario, con un 57% del capital, tras la salida de la Bolsa Mexicana de Valores de la filial, que ha confirmado Jaime González Aguadé, presidente de la Comisión Nacional Bancaria y de Valores de México (CNBV).

No obstante, la compañía mexicana, que cotiza en esta bolsa desde noviembre de 2010, continuará operando en el país.
