Naturgy [BME:NTGY] ha firmado una opción para dar entrada a BlackRock's Global Energy & Power Infrastructure Fund (GEPIF), fondo controlado por BlackRock [NYSE:BLK], en el vehículo de inversión que creará y utilizará para adquirir el 34,05% de Medgaz (ver transacción relacionada).

En este sentido, BlackRock's Global Energy & Power Infrastructure Fund (GEPIF) adquirirá el 50% del vehículo de inversión al mismo precio al que se adquirirá la participación de Medgaz a Mubadala. Además, Naturgy aportará su participación en Medgaz, del 14,95%, al vehículo de inversión.

De este modo, el vehículo de inversión, que estará controlado a partes iguales por Naturgy y por BlackRock, controlará el 49% de Medgaz.

La operación se materializaría una vez se cierre la transacción con Mubadala, pendiente de obtener la aprobación de las autoridades competentes durante las próximas semanas.

BlackRock's Global Energy & Power Infrastructure Fund (GEPIF), a fund controlled by BlackRock [NYSE:BLK], signed an option agreement to become a shareholder in the investment vehicle that Naturgy [BME:NTGY] will create and use to acquire 34.05% of Medgaz (see related transaction).

In this regard, BlackRock's Global Energy & Power Infrastructure Fund (GEPIF) will acquire 50% of the investment vehicle at the same price at which Medgaz's stake will be acquired by Naturgy from Mubadala. Additionally, Naturgy will contribute its 14.95% stake in Medgaz to the investment vehicle.

Thus, the investment vehicle, which will be equally owned by Naturgy and BlackRock, will hold 49% of Medgaz.

The transaction would materialize once the Mubadala's transaction, which is subject to approval from antitrust authorities, closes.
